The LetUsStart website is an online platform where individuals and companies can present their projects to generate capital. All contracts associated with a project on the LetUsStart website are directly between the creators and investors. To the extent that these terms conflict with additional terms applied by a creator to their project, these terms prevail. During the term of the project, creators maintain a high standard of respect and honesty. There is no guarantee of campaign success. 1.6. Every member must comply with and respect the law. Refrain from violating the rights of others. Do not publish false information. Do not offer prohibited goods. Do not offer illegal rewards. Registration and Member Account 2.1. With the LetUsStart website, the LLC merely provides a platform through which capital seekers can post their projects online in order to offer investments to investors. This information is confidential. The LLC does not audit the profitability of these projects. The LLC does not guarantee the accuracy or completeness of this information. All information may be used solely for the purpose of making an investment decision. 3.2. The LetUsStart website offers the technical ability to publish content independently. This content is generally not reviewed by the LLC. 3.3. The LLC is entitled to supplement, replace, or modify campaigns (text, image, and video material) as necessary. Conclusion of Contract 4.1. A contract with the creator requires that the registration form must be filled out and submitted. A contract with the investor requires that the registration form must be filled out and submitted. 4.2. The timeframe is set individually for each project. The LLC is entitled to post the project online until the funding goal is reached and beyond, and in any case, to extend it as often and for as long as desired. 4.3. Regardless of whether the funding goal is reached/not reached/exceeded, the collected funds from the investors, minus commissions/fees, will be paid to the creator after the project’s completion. There is no all or nothing principle. Payment Processing 5.1. Payment processing for all investments and acquisitions is handled exclusively by payment service providers authorized to conduct money transfer transactions. The LLC or the payment service provider does not become a contractual partner for the investments or acquisitions. The LLC is not authorized to acquire ownership or possession of funds (except for commissions). Commissions, Premiums, Fees 6.1. Registration as a creator or investor is free of charge. No fee is charged for creating a campaign. 6.2. If investments, support, or equity acquisitions occur through the LetUsStart website, a commission will be due to the LLC.6.3. This commission amounts to 10% of the investment sum for each transaction carried out and is payable in any case. A minimum amount of €250.00 will be withheld for each project of a creator. A refund is not possible. Payment fees (PayPal, Banks, Stripe, Klarna, Mollie, etc.) are not included. The LLC is entitled to deposit funds into an ongoing campaign. These funds will not be counted. Payouts 7.1. All payments to the Creator by the LLC and/or third parties are made through PayPal accounts and/or bank accounts. The creator must provide the corresponding accounts. The LLC and/or third parties are in no case part of any transactions between the creators and the investors through these payouts.7.2. The creators receive an invoice from the LLC upon completion of the project. The investors do not receive an invoice from the LLC for their investments, support, or acquisition of shares. System Integrity 8.1. The LLC reserves the right to change, restrict, or discontinue the scope and functionality of the website at any time. While always striving to provide its service without technical disruptions, maintenance work, further development, and/or other disruptions may limit and/or temporarily interrupt the use of the website. Under certain circumstances, data loss may occur. The LLC assumes no liability for the availability of the service or the absence of technical malfunctions or data loss. Taxes 9.1. The LLC is not liable for any taxes or fees incurred. It is expressly stated that the creator and investor are solely responsible and financially independent, and the LLC is not involved in these investments. Exclusions of Liability 10.1. The LLC assumes no liability or guarantee for the quality of any goods acquired, which the investor may receive from the creator. The LLC is not part of any business transactions between the creators and investors. Termination of the User Agreement 11.1. The user agreement for the LetUsStart website is concluded for an indefinite period. 11.2. The LLC reserves the right to exclude creators and investors as members at any time without giving reasons and to restrict or block access partially or entirely, temporarily, or permanently. In particular, creator projects may be rejected by the LLC without giving reasons. Under no circumstances shall there be a claim for damages. 11.3. The right to terminate for good cause remains unaffected. 11.4. Statutory termination rights remain unaffected. Risk Information 12.1. Crowdfunding offers opportunities but is expressly a risky investment. In the worst case, there is a risk of losing the entire investment. Crowdfunding is not suitable for retirement planning. There is no obligation to make additional contributions. The risk can be minimized by investors spreading their investment amount across multiple crowdfunding projects and not investing all of their money in one project. 12.2. The LLC does not provide investment advice. The LLC is not obligated to report on ongoing investment developments. 12.3. In the event of the creator’s insolvency, investors will be paid from the insolvency estate after all other third-party creditors. 12.4. The information about the projects on the LetUsStart website is provided exclusively by the creators. The LLC does not review the projects’ profitability. 12.5. The information about the respective creator on the LetUsStart website is provided exclusively by the creators themselves. Forecasts do not guarantee the creators’ future performance. Crowdfunding is therefore only suitable for investors who can bear the risk of a total loss of the invested capital. Each investor makes the decision to invest independently and on their own responsibility. 12.6. It is solely the responsibility of the investor to decide whether to invest in projects using the LetUsStart website. The information available on the LetUsStart website does not constitute an advisory service from the LLC and is not a substitute for professional advice. The LLC recommends informing yourself about the legal, economic, and tax consequences of an investment before and during the term of the investment. Any investment may result in a total loss of the investment amount. Assignment of Contract 13.1. The LLC is entitled to assign the business model, including the operation of the LetUsStart website, to a company designated by it. The transferee acquires the same rights and obligations from this business model, including the operation of the LetUsStart website, to which the transferor is entitled or incumbent. The transfer takes place upon the signing of an assignment agreement. This assignment agreement will not be published. 13.2. In the event of an LLC filing for insolvency, or if insolvency proceedings are legally initiated against the LLC’s assets, or if the initiation of such proceedings is rejected due to insufficient assets and the LLC is liquidated, third parties are entitled to continue the business model, including the operation of the LetUsStart website, in place of the LLC. Data Protection 14.1. The processing of the personal data of the creator and investor is carried out in explicit compliance with applicable data protection regulations. Detailed information can be found in the privacy policy on the LetUsStart website. 14.2. In addition, the LLC is obliged to provide the affected data to the relevant authority in the event of a legal requirement, an official order, or an official investigation. Website Language Translation 15.1. The LetUsStart website is published in English. AI language translation is an additional feature and supports the use of the LetUsStart website in other languages. The LLC assumes no liability for AI language translation. Marketing 16.1. The LLC is entitled, but not obligated, to share, copy, and publish campaigns (text, image, and video material) of the creators online on Facebook, Instagram, TikTok, etc. The LLC is entitled to reuse campaigns (text, image, and video material) from the creators for marketing purposes after the campaigns have concluded. Creators’ campaigns will be marked as completed on the LetUsStart website after the campaigns are concluded and will be reused for reference purposes. The LLC reserves the right to temporarily or permanently delete creators’ campaigns from the LetUsStart website after the campaigns have concluded. Final Provisions 17.1. U.S. law applies. The place of jurisdiction for all disputes arising from or in connection with this agreement is Delaware. 17.2. Should there be any conflict between these Terms & Conditions and other provisions confirmed by the creator or investor, the other provisions shall prevail. 17.3. Should individual provisions of these Terms & Conditions be or become invalid or ineffective in whole or in part, this shall not affect the validity of the remaining provisions. Otherwise, the parties will replace the void or ineffective provision with a valid provision that comes as close as possible to its economic purpose, unless a supplementary interpretation of the contract takes precedence or is possible. 17.4. The LLC reserves the right to amend these Terms & Conditions at any time and without stating reasons. The amended terms and conditions will be published on the LetUsStart website in their current version. Only the most recent version of the Terms & Conditions is legally binding and effective.
